These Terms of Service ("Terms") govern your use of the services, website, and client portal provided by InstaArch LLC ("InstaArch," "we," "us," or "our"). By using our services, accessing our client portal, or communicating with us, you agree to these Terms. If you do not agree, please do not use our services.

1. Our Services

InstaArch LLC provides architecture, engineering, drafting, plan-set, permitting, and related professional services. We also provide a client portal and communication tools (including email and text messaging) to manage projects and communicate with clients. The specific scope, deliverables, fees, and timeline for any project are governed by the separate proposal, agreement, or contract you enter into with us. In the event of a conflict between these Terms and a signed project agreement, the signed project agreement controls for that project.

2. Eligibility and Accounts

Our services are intended for businesses and adults. If you are given access to our client portal, you are responsible for:

Providing accurate information;
Keeping your login credentials confidential;
All activity that occurs under your account;
Notifying us promptly of any unauthorized use.

We may suspend or terminate access to the portal if we reasonably believe these Terms have been violated or to protect the security of the service.

3. Proposals, Payments, and Invoicing

Proposals and estimates are valid for the period stated and are subject to change until accepted.
Accepted proposals, deposits, and invoices are due as set out in the applicable proposal or agreement.
Card payments are processed by a third-party payment processor; by paying online you also agree to that processor's terms. We do not store full card numbers.
Late or non-payment may result in suspension of work, as further described in your project agreement.

4. Client Responsibilities

You agree to provide accurate and complete information, timely approvals, and any materials reasonably needed for us to perform our services. You are responsible for ensuring you have the rights to any information, plans, property details, or materials you provide to us.

5. Intellectual Property

Unless otherwise agreed in writing, documents, drawings, designs, and other work product are subject to the terms of your project agreement. Our website, portal, software, and platform — including their design, content, and underlying technology — are owned by InstaArch LLC or its licensors and are protected by applicable laws. You may not copy, modify, distribute, or reverse-engineer our platform except as expressly permitted.

6. Professional Services Disclaimer

Our professional deliverables are prepared in accordance with the scope defined in your project agreement and applicable professional standards. Permitting outcomes, approvals by third parties, and decisions by authorities having jurisdiction are outside our control. Nothing on our website or in automated tools constitutes a final engineered or stamped document unless expressly issued as such under a signed agreement.

7. SMS / Text Messaging

If you provide your phone number and opt in, you may receive text messages from InstaArch LLC (sent from (605) 305-0754) regarding customer care and your account, including appointment reminders, project updates, and proposal/invoice notifications.

Consent is not a condition of purchase or of receiving our services.
We use a confirmation (double opt-in) process; you must reply YES to confirm before recurring messages are sent.
Message frequency varies. Message and data rates may apply.

Mobile opt-in information and consent are never sold or shared with third parties for any purpose.

Your use of text messaging is also governed by our Privacy Policy.

8. Acceptable Use

You agree not to use our services or portal to:

Violate any law or regulation;
Infringe the rights of others;
Upload malicious code or attempt to gain unauthorized access;
Interfere with the operation or security of the service;
Misrepresent your identity or authority.

9. Third-Party Services

Our services rely on third-party providers (such as payment, hosting, email, and messaging providers). Your use of features that depend on those providers may be subject to their terms and policies. We are not responsible for the acts or omissions of third-party providers beyond our reasonable control.

10. Disclaimers

Except as expressly stated in a signed project agreement, our website, portal, and online tools are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the portal will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by law, InstaArch LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or relating to your use of the website, portal, or communication tools. Our total liability relating to the website, portal, and communication tools (separate from professional services governed by a project agreement) will not exceed the amount you paid, if any, for access to those tools. Liability arising from professional services is governed by the applicable project agreement.

12. Indemnification

You agree to indemnify and hold harmless InstaArch LLC from claims, damages, and expenses arising out of your breach of these Terms, your misuse of the services, or your violation of any law or the rights of a third party.

13. Termination

We may suspend or terminate access to the website or portal at any time if you violate these Terms or to protect the security or integrity of our service. Termination of portal access does not affect the rights and obligations under any signed project agreement.

14. Governing Law

These Terms are governed by the laws of the State of South Dakota, without regard to its conflict-of-laws principles, except where otherwise required by applicable law. Any disputes will be resolved in the appropriate courts located in South Dakota, unless otherwise agreed in a signed project agreement.

15. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of our services after an update constitutes acceptance of the revised Terms.
